Legal Counsel

To assist the Board of Directors in ensuring the company complies with all legislation, good corporate governance practice, licences and its own internal constitution.  The Legal Counsel will guarantee that the company strictly follows legal guidelines and provides legal advice about all relevant issues, ensuring legal conformity and optimisation of the risk/reward balance.

Key Responsibilities

  1. To provide accurate and timely counsel to the business in a variety of legal fields.  Trusted advisor to the Board, Directors and Leadership Team on matters associated with contractual, corporate governance, government policy and general legal compliance issues.
  2.  To understand and apply all relevant legislation, regulations, directives and the company’s Memorandum and Articles of Incorporation.
  3. Specify internal governance policies and regularly monitor compliance.
  4.  Research and evaluate different risk factors regarding business decisions and operations.
  5.  Draft and solidify agreements, contracts and other legal documents to ensure the company’s full legal rights.
  6. Deal with complex matters with multiple stakeholders.
  7.  Communicate and negotiate with external parties (regulators, external counsel, public authority etc.), creating relations of trust.
  8. Advisor on procedural and technical matters concerning company owned/leased land or property.
  9. To act as Data Protection Officer and fulfil the functions and responsibilities of this role including GDPR compliance.


Skills, Knowledge & Expertise

  • A legal professional with proven experience as a legal counsel in a business environment.
  • Excellent knowledge and understanding of Guernsey company law and a good understanding of relevant local legislation, regulations and directives.
  • Highly developed commercial acumen and an ability to communicate effectively at all levels.
  • A proven ability to create legal defences or proactive strategies with sound judgements and ability to analyse situations and information.
  •  A detailed knowledge of Memorandum and Articles of Incorporation, States trading company legislation and other constitutional documents.
  • A detailed understanding of States of Guernsey policies, practices, framework and other documents, which might impact or influence the company’s structure, strategy or operations.
  • A good understanding of UK company law
